These Terms of Service (“Terms”) govern your access to and use of the AdSign website at adsign.live (the “Site”), the AdSign cloud platform, software, documentation, and related services (collectively, the “Services”) offered by AdSign (“AdSign,” “we,” “us,” or “our”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms are a legal agreement between you and AdSign. They are not legal advice; you may wish to consult your own counsel.
1. Eligibility and accounts
You must have the legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. You are responsible for maintaining the confidentiality of account credentials and for activity under your account.
2. The Services
AdSign provides digital signage software and related tools (for example, content management, scheduling, and playback on supported devices). Features, limits, and availability may change. We may offer trials, subscriptions, or other plans as described on the Site or in an order or invoice.
3. Acceptable use
You agree not to:
- Violate applicable law or third-party rights;
- Upload or display unlawful, infringing, defamatory, harassing, or malicious content;
- Probe, scan, or test the vulnerability of the Services, or breach security or authentication measures;
- Interfere with or disrupt the Services or other users’ use (including excessive automated access);
- Reverse engineer, decompile, or attempt to extract source code of the Services except where prohibited by law;
- Use the Services to build a competing product or service without our prior written consent.
We may suspend or terminate access for conduct we reasonably believe violates these Terms or harms the Services.
4. Trials, fees, and billing
Trial and paid offerings (including per-screen or subscription pricing) are described on the Site or in a separate agreement. Fees are exclusive of taxes unless stated otherwise. Late or failed payments may result in suspension of the Services. Unless otherwise agreed, subscriptions renew as described at purchase.
5. Customer content
You retain ownership of content you upload or publish through the Services (“Customer Content”). You grant AdSign a non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Services. You represent that you have the rights necessary to grant this license and that Customer Content complies with these Terms.
6. AdSign intellectual property
The Services, including software, branding, and documentation, are owned by AdSign or its licensors and are protected by intellectual property laws. Except for the limited rights to use the Services under these Terms, no rights are granted to you.
7. Third-party services and devices
The Services may integrate with third-party hardware, app stores, or services. Your use of those third parties is subject to their terms. AdSign is not responsible for third-party products or services.
8. Confidentiality
Each party may receive non-public information from the other (“Confidential Information”). The receiving party will use reasonable care to protect Confidential Information and use it only for the purpose of these Terms, except as required by law.
9. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSIGN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ADSIGN DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSIGN AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. ADSIGN’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID ADSIGN FOR THE SERVICES IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
11. Indemnity
You will defend and indemnify AdSign and its affiliates, officers, and employees against third-party claims arising from Customer Content, your use of the Services in violation of these Terms, or your violation of law, subject to AdSign’s prompt notice, reasonable cooperation, and sole control of the defense where we elect to assume it.
12. Term and termination
These Terms apply from your first use of the Services until terminated. You may stop using the Services at any time. We may suspend or terminate access for breach, risk, or legal requirements. Provisions that by their nature should survive (including ownership, disclaimers, limitations, indemnity, and governing law) will survive termination.
13. Changes
We may modify these Terms by posting an updated version on the Site and updating the “Last updated” date. Material changes may be communicated through the Services or by email where appropriate. Continued use after changes become effective constitutes acceptance unless applicable law requires otherwise.
14. General
These Terms constitute the entire agreement regarding the subject matter and supersede prior discussions. Failure to enforce a provision is not a waiver. If a provision is unenforceable, the remainder remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
15. Governing law
These Terms are governed by the laws of Canada, excluding conflict-of-law rules. Courts located in Canada will have exclusive jurisdiction over disputes, unless mandatory consumer protection laws in your jurisdiction require otherwise.
